84/2018 2018-11-09 Acquisition of own shares of Boryszew S.A.

The Management Board of Boryszew S.A., with its registered office in Warsaw (“the Company"), informs that that on November 5 – 9, 2018, Dom Maklerski mBank Spółka Akcyjna with its registered office in Warsaw ("mBank S.A."), acting on behalf of and for the Company's account, during trading sessions on the main market of the Warsaw Stock Exchange S.A. acquired shares of Boryszew S.A. as part of the Program of share buyback, whereby the Company explains that these transactions were carried out by Dom Maklerski mBank S.A. regardless of Boryszew S.A. (the Company has no influence on the volume and price of the shares purchased) as part of a framework order submitted on October 22, 2018.


According to the information provided by Dom Maklerski mBank S.A .:
- on 5 November, 2018 acquired 42,857 own shares of Boryszew SA with a nominal value of PLN 1.00 each, for an average unit price of PLN 4.82 per share, in transactions constituting in total 0.0179% of share in the share capital and 0.0179% of votes at the General Meeting of Boryszew SA,
- on 6 November, 2018, acquired 43,079 own shares with a nominal value of PLN 1.00 each, for an average unit price of PLN 4.83 per share, in transactions constituting in total 0.0179% in the share capital and 0.0179% votes at the General Meeting of Shareholders of Boryszew S.A.,
- on 7 November, 2018, acquired 45,875 own shares with a nominal value of PLN 1.00 each, for an average unit price of PLN 4.76 per share, in transactions constituting in total 0.0191% in the share capital and 0.0191% votes at the General Meeting of Shareholders of Boryszew S.A.,
- on 8 November, 2018, acquired 45,980 own shares with a nominal value of PLN 1.00 each, for an average unit price of PLN 4.80 per share, in transactions constituting in total 0.0192% in the share capital and 0.0192% votes at the General Meeting of Shareholders of Boryszew S.A.,
- on 9 November, 2018, acquired 50,714 own shares with a nominal value of PLN 1.00 each, for an average unit price of PLN 4.72 per share, in transactions constituting in total 0.0211% in the share capital and 0.0211% votes at the General Meeting of Shareholders of Boryszew S.A.

 

The above shares were purchased within acting within the authorization granted by Resolution no. 19 of the Ordinary General Meeting of Boryszew S.A. of 25 June, 2014 regarding the authorization of the Management Board of the Company to acquire own shares of Boryszew S.A. and pursuant to art. 362 § 1 (8) and art. 362 § 4 of the Code of Commercial Companies.

 

As a result of the above transactions, the Company holds directly 16,878,997 own shares, and it holds indirectly, through the subsidiaries, 15,516,169 shares of Boryszew S.A., constituting in total 13,4980% of the share capital and providing the right to 32,395,166 votes at the General Meeting of Shareholders of the Company, which is 13,4980% of the total number of votes.
